InnStrat Limited (“InnStrat” or “we”) provides its content on its websites or SaaS platform or other applications that post a link to this Terms of Use (the “Site”) subject to the following terms and conditions (the “Terms”). We may periodically change these Terms without prior notice, so please check back from time to time. These Terms were last updated on 1 December, 2020. When you use our SaaS Platform, Access our Website, Join our Network (also referred to as “Our Services”), you agree to all of these terms. Your use of Our Services is also subject to our Privacy Policy, which covers how we collect, use, store and share your personal or company’s information.

You agree that by clicking “Join Network”, “Join”, “Sign Up” or similar, registering, accessing or using Our Services, you are agreeing to enter into a legally binding contract with InnStrat Limited. If you wish to terminate this contract, at any time you can do so by closing your account and no longer accessing or using our Services.

This Terms applies to Members and Visitors.

As a Visitor or Member of our Services, the collection, use and sharing of your personal data is subject to this Privacy Policy (which includes our Cookie Policy) and updates.  When you register and join the InnStrat Services, you become a Member. If you have chosen not to register for our Services, you may access certain features as a “Visitor.”

By registering on this site you confirm that you are at least our “Minimum Age”, which is 16 years old.  The Services are not for use by anyone under the age of 16.  To use the Services, you agree that: (1) you must be the “Minimum Age” or older; (2) you will only have one InnStrat account, which must be in your real name; and (3) you are not already restricted by InnStrat from using the Services. Creating an account with false information is a violation of our terms, including accounts registered on behalf of others or persons under the age of 16.
However, if law requires that you must be older in order for InnStrat to lawfully provide the Services to you without parental consent (including using of your personal data) then the Minimum Age is such older age.

1. Copyrights

The site content is the exclusive property of InnStrat or its licensors and, to the extent applicable, is protected by international copyright laws. Neither the Site Content nor functionality of the Site, may be copied, reproduced, modified, reverse engineered, altered (including the removal or disabling of any security or technological safeguards, disclaimers, or legends) uploaded, published, posted, transmitted, or distributed in any way without our written permission, except for those uses specified in Section 2 – Use of site content. All rights not expressly granted are reserved.

2. Use of site content

InnStrat hereby grants you a limited, non-exclusive, non-transferable, revocable license for the term hereof to access and download, display, and print one copy of the Site Content on any single computer solely for your internal, business use, provided that you do not modify the Site Content in any way (including creating derivative works thereof), that you retain all copyright and other proprietary notices displayed on the Site Content, and that you otherwise comply with these Terms. You may not otherwise reproduce, modify or reverse engineer the Site Content without InnStrat’s prior written consent. In addition, you may not “mirror” the Site Content or any portion thereof without InnStrat’s express written consent. Nothing on this Site should be construed as granting directly or indirectly, or by implication any license or right to use any InnStrat intellectual property other than as expressly set forth herein. The license granted in this section terminates automatically and immediately if you do not comply with these Terms.

3. User postings

You acknowledge and agree that InnStrat shall own and have the unrestricted right to use, publish, and otherwise exploit any and all information that you post or otherwise publish on the Site in postings, forums or message boards, questionnaire, survey responses, and otherwise, and you acknowledge and agree that, by providing us any such submission, you automatically grant, and hereby do grant, to us a worldwide, non-exclusive, transferable, assignable, sublicensable, fully paid-up, royalty-free, perpetual, irrevocable license and right to use, reproduce, publish, distribute, modify and otherwise exploit such submission for any purpose, and in any form or media, not prohibited by applicable law. In addition, you hereby waive any claims against InnStrat for any alleged or actual infringements of any rights of privacy or publicity, intellectual property rights, moral rights, or rights of attribution in connection with InnStrat’s use and publication of such submissions.
You covenant that you shall not post or otherwise publish on the Site any materials that (a) are threatening, defamatory, or obscene; (b) would constitute, or that encourage conduct that would constitute, a criminal offense, give rise to civil liability, or otherwise violate law; (c) infringe the intellectual property, privacy, or other rights of any third parties; (d) contain a computer virus or other destructive element; (e) contain advertising; (f) constitute or contain false or misleading statements; or (g) violates these Terms.
InnStrat does not represent or endorse the accuracy of reliability of information posted to the Site by users. In addition, InnStrat does not and cannot review all information posted to the Site by users and is not responsible for such information. However, InnStrat reserves the right to refuse to post and the right to remove any information, in whole or in part, for any reason or for no reason.

4. Solution Discovery Network Members

When you sign up as a solution discovery network member, you agree to receive notifications when our clients, who may be private sector enterprises, public sector entities, not-for-profit organisations or other commercial entities seek for solutions to their business, technical, engineering, scientific, logistical, manufacturing, or other problems via our website.  By using this Site, you acknowledge that InnStrat does not control in any manner the nature, quality, legality or timing of any solution seeking engagement. Solution seeking engagements may offer a cash reward, other reward or proposal of partnership for solutions submitted and that the seeker deems acceptable, based on the screening or evaluation criteria set by the seeker.  You agree that InnStrat is a neutral forum for solution search and network member proposed solutions.  However, as a compensation for our provision of the forum between seekers and network members, InnStrat shall be compensated depending on the nature of each engagement set-up by the seeker.  The below outlines our compensation structure

You agree that the above InnStrat compensation shall be deducted from the challenge reward value set by the solution seeker.

Each solution seeking engagement will have a terms of engagement, which you must agree to, in order to participate in that engagement.

5. Disclaimers

Nothing on the InnStrat website constitutes investment, legal, tax or other professional advice and you remain solely responsible for your use of information obtained from the site.  Although we try to bring accurate information, under no circumstances can or does InnStrat and its owners, contributors, authors and partners warrant the completeness or accuracy of the content, or its usefulness for any particular purpose. Therefore, InnStrat and its owners, contributors, authors and partners make absolutely no promises or warranties, nor accept responsibility for any liability, injury or damage that you may cause or incur when using the information provided on this website. All information and content provided on this website is to be used on an “as is” basis. None of the information provided on this website is meant to be used in replacement of professional advice and the users are encouraged to seek such advice before making any decision. It is solely up to the user to determine if advice is safe and suitable for their situation.

These Terms are governed by the laws of the England & Wales without reference to the principles of conflicts of laws thereof.
